Terms & Conditions

These Terms include a binding arbitration agreement and a class-action waiver (Section 12) that affect how disputes are resolved. Please read them. You may opt out of arbitration within 30 days.

These Terms & Conditions ("Terms") form a binding agreement between you and Ringup ("Ringup," "we," "us"). By using Ringup, paying through a Ringup link, authorizing a charge on a call, saving a payment method, or replying to a Ringup text, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.

1. What Ringup is

Ringup provides technology that lets a business, or its AI voice agent, recognize a caller and charge a saved card, or text a secure link to pay. Payments are processed by third-party payment processors (for example, Stripe). Ringup is a technology provider. It is not the merchant, not a bank, and does not take custody of your funds. The business you pay (the "Merchant") is solely responsible for its goods and services, pricing, fulfillment, returns, refunds, and disputes.

2. Beta service

The service is offered on a limited beta basis, "as is," and may be changed, suspended, or discontinued at any time without notice or liability.

3. Eligibility

You must be at least 18 years old and the authorized holder of, or otherwise authorized to use, any payment method and phone number you provide. You represent that the information you provide is accurate and that you are permitted to authorize the charges you make.

4. Payment authorization & saved cards

When you confirm a payment, by tapping a payment link or by an affirmative instruction such as saying "yes" on a call, you authorize Ringup and the Merchant's processor to charge the stated amount to your selected payment method. If you choose to save a payment method, you consent to its storage and to later charges that you initiate or authorize, consistent with card-network stored-credential rules. You represent that you are the authorized cardholder. Amounts, deposits, refunds, and cancellations are set by the Merchant; direct those requests to the Merchant. You agree to contact us or the Merchant to resolve any billing question in good faith before initiating a chargeback.

5. Text messages (SMS)

By requesting a payment link on a call, or otherwise giving your number for this purpose, you consent to receive transactional text messages from Ringup at that number. Consent to texts is not a condition of any purchase. Messages are transactional (a payment link and related confirmations), typically one per request.

6. Voice and biometric data

With your consent, Ringup may create and store a voiceprint to recognize you and help verify your identity, as described in the Privacy Policy. Providing a voiceprint is optional: you may decline, withdraw consent, and request deletion, and you can still pay without one. Calls may be recorded for this purpose and as a record of your authorization, where permitted and with any required notice or consent.

7. Acceptable use

You agree not to use the service unlawfully, to commit or facilitate fraud, to pay with a method you are not authorized to use, or to interfere with, reverse engineer, or disrupt the service.

8. No warranties

The service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the service will be uninterrupted, timely, secure, or error-free. Ringup is not responsible for the goods, services, or conduct of any Merchant.

9. Limitation of liability

To the maximum extent permitted by law, Ringup and its affiliates, officers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to the service. Ringup's total aggregate liability for any claim relating to the service will not exceed the greater of (a) the total amount you paid through Ringup in the three months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Ringup and its affiliates from and against any claims, losses, and expenses (including reasonable legal fees) arising out of your use of the service, your violation of these Terms, or your violation of any law or the rights of any third party. Business users and Merchants additionally indemnify Ringup for their integration and use of the service under any separate agreement.

11. Third-party services

Payments, messaging, and identity checks rely on third parties (for example, Stripe, Twilio, and carriers). Your use of those features may also be subject to their terms, and Ringup is not responsible for their acts or omissions.

12. Dispute resolution; arbitration; class-action waiver

Please read this section carefully. It affects your legal rights.

Informal resolution first. Before starting any proceeding, contact us at the address below and give us 30 days to resolve the matter.

Binding arbitration. Except for qualifying small-claims matters and claims for injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its applicable consumer rules, rather than in court.

Jury-trial waiver. You and Ringup waive any right to a jury trial.

Class-action waiver. Disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding.

30-day opt-out. You may opt out of this arbitration agreement by emailing us at the address below within 30 days of first accepting these Terms; opting out does not affect the other Terms. If the class-action waiver is found unenforceable as to a particular dispute, the arbitration agreement will not apply to that dispute.

13. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to Section 12, the state and federal courts located in Delaware have exclusive jurisdiction over any matter not subject to arbitration.

14. General

If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. These Terms, with the Privacy Policy, are the entire agreement between you and Ringup regarding the service. We may update these Terms; we will post the new date, and your continued use means you accept the changes.
